THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY YOU REPRESENT (“YOU”) AND LAYERSOURCE (“LAYERSOURCE,” “WE,” OR “US”) GOVERNING YOUR USE OF LAYERSOURCE BUSINESS SUITE PLATFORM AND SERVICES.
1. Parts of this Agreement
This Agreement includes:
General Terms: These overarching terms.
Service-Specific Terms: Additional terms for individual services (if any).
Service-Specific Terms prevail in case of conflict.
2. Acceptance
You must be of legal age to bind yourself or your entity.
Accept by: (a) checking a box/clicking “I Agree,” or (b) using the Services.
If you disagree, do not use the Services.
3. Description of Service
Layersource provides a cloud based business suite platform enabling users to connect to 20+ third-party applications (“Services”). Services include web apps for business/personal use. You are responsible for internet access and required equipment.
4. Beta Services
We may offer beta features (“Beta Services”) for testing.
Beta Services may be discontinued anytime without liability.
No obligation to purchase paid plans after Beta use.
5. Free Trial
Free trials end at the earliest of: (i) trial period expiry, (ii) paid subscription start, or (iii) termination by Layersource.
Data entered during trials is permanently lost unless you:
Purchase a paid plan,
Upgrade services, or
Export data before trial ends.
Trials are provided “AS IS” without warranties.
6. User Sign-Up Obligations
You agree to:
Provide accurate, current, and complete registration details (e.g., corporate email for business accounts).
Update information promptly.
We may suspend accounts with false/outdated details.
7. Restrictions
You must not:
Resell, transfer, or reverse engineer the Services.
Share user licenses (except for reassignment).
Use for spam, illegal activities, harassment, or infringement.
Disrupt Services integrity or security.
Benchmark/compete with Layersource.
Remove proprietary notices.
8. Third-Party Applications
Our platform integrates with 20+ third-party apps (“Third-Party Apps”).
Each apps has their own set of rules
Layersource is not liable for Third-Party Apps and may suspend access without notice.
9. Fees & Payments
Subscriptions auto-renew unless downgraded/canceled ≥7 days before renewal.
Payment: Credit Card, Debit card, Paypal (for subscriptions <1 year).
Taxes (e.g., GST) are added to fees.

10. Data & Privacy
Data Ownership: You retain rights to content you create/store.
Privacy Policy: Governed by [https://layersource.com/privacy-policy/].
Hosting: Data stored in cloud facilities based on your region (determined by IP). We may migrate data if region mismatches.
Security: Notify us immediately of unauthorized account use at support@layersource.com.
11. Termination
We may suspend/terminate accounts for:
Illegal activity,
120+ days of inactivity (unpaid accounts),
Violations of this Agreement.
Terminated accounts lose all data.
12. Disclaimers & Liability
Disclaimer: Services are provided “AS IS.” We disclaim all warranties (e.g., uptime, security).
Liability Cap: Our total liability is fees paid in the last 12 months.
13. Indemnification
You indemnify Layersource against losses from:
Your misuse of Services,
Violations of laws/third-party rights.
14. Governing Law
Jurisdiction: Erode, Tamil Nadu, India.
Governing Law: Indian law, excluding conflicts principles.
15. Updates to Agreement
We notify you of changes via email/service announcements.
Continued use = acceptance.
Material changes allow termination with pro-rata refund.
